Our client, a longstanding and successful private equity fund is hiring a hands-on paralegal/compliance profile to support transaction execution and entity work while also partnering with the compliance function (including communications with LPs). This is a highly visible role reporting directly into the CCO who is an exceptional person and will be an excellent educator and mentor to the newly hired individual.  The team is prioritizing someone who views this as a career track (compliance / fund legal ops) rather than a stepping stone to law school.

Responsibilities:

  • Deal execution support and transaction coordination; prepare structure charts for each investment and update them periodically 
  • Coordinate new entity formation with outside counsel. Review formation documents to ensure proper entities and structure (following structure chart).
  • Support fund/legal documentation processes (legal agreements, confidentiality agreements, document management)
  • Investor-related legal operations support:
    • Maintain LP lists (tax status, jurisdiction, address/wire/name changes) in coordination with IR and Finance
    • Process LP transfers and maintain transfer logs / transfer booklets
    • Ensure AML/KYC documentation is received for new LPs and transferees (coordinate with administrator/outside counsel as needed)
  • Assist with compliance matters: provide testing support and Code of Ethics

Qualifications:

  • 3–4 years’ of related experience ideal
  • Transactional or entity management paralegal experience optimal
  • Direct buyside experience (through extern, secondment, or direct work) required

Compensation Expectations: $110-130K base + bonus
