Our client, a leading private investment firm with a long track record, is seeking a Legal Counsel to join its New York office. Responsibilities:
- Support all aspects of fund formation and maintenance, including drafting and reviewing offering materials, side letters, partnership agreements, and investor documentation.
- Provide legal support for investment transactions, including cross-border M&A, co-investments, and strategic partnerships.
- Assist with the structuring and execution of complex financial services deals and portfolio company transactions.
- Advise internal stakeholders on regulatory and compliance issues, including SEC, AIFMD, and other global regulatory frameworks.
- Review and negotiate vendor, service provider, and confidentiality agreements.
- Partner with the firm’s compliance team on filings, policies, and internal procedures to support the legal and compliance infrastructure.
- Contribute to special projects, corporate governance initiatives, and firm-level strategic priorities as needed.
Qualifications:
- JD required; admitted to practice in New York.
- 2-4 years of experience in private funds or an investment management group at a top-tier law firm.
- Familiarity with fund formation, investment transactions, and/or regulatory issues applicable to private equity and financial services firms.
- Strong analytical and drafting skills with the ability to handle a wide range of matters in a dynamic environment.
- High level of initiative and ownership; able to work both independently and collaboratively in a lean team.
- Excellent interpersonal skills and professional judgment, with a practical, solutions-oriented mindset.
Compensation Expectations: $250-350k all-in compensation
