Our client, a global alternative asset manager with over $20B in assets, is seeking an experienced attorney to join its in-house legal team. This is a high-impact opportunity for a fund formation attorney to work closely with the General Counsel on legal matters tied to private fund structuring and product development. The hire will serve as the point person for managing outside counsel and coordinating across internal teams, with the chance to shape and oversee fund launches across a broad set of vehicles, including private funds, CLOs/CDOs, and registered products.

Responsibilities:

  • Oversee the formation, launch, and maintenance of onshore and offshore private funds, including private equity-style vehicles, credit funds, CLOs/CDOs, co-investment funds, and continuation funds
  • Draft and negotiate offering documents, constituent documents, side letters, term sheets, and service agreements
  • Coordinate closely with outside counsel and internal teams across investor relations, operations, tax, and finance
  • Review marketing materials, investor communications, DDQs, and RFPs
  • Provide legal input on credit facilities and related documentation for fund vehicles
  • Assist with regulatory and compliance matters including interpretation of the Advisers Act and, where relevant, the Investment Company Act
  • Participate in firmwide legal projects and governance initiatives as needed

Qualifications:

  • 5–10 years of legal experience
  • JD required; admission to practice in good standing
  • Strong preference for candidates with early-career experience in a top-tier law firm
  • In-house experience at a registered investment adviser strongly preferred
  • Demonstrated expertise in private fund formation is essential; familiarity with CLOs/CDOs and registered fund products (interval funds, BDCs) a plus
  • Capable of leading external counsel and collaborating across internal functions
  • Organized, detail-oriented, and able to manage multiple priorities independently
  • Comfortable operating in a fast-paced environment and engaging with senior leadership

Compensation Expectations: $200-250K base; $450-800K all-in
