Our client, a leading international investment manager with over $50B in assets, has a newly created legal position on their Asset Based Finance team. The role involves spearheading the legal aspects of their Asset Based Finance transactions and partnerships, collaborating closely with the senior attorneys on the team.

Responsibilities:

  • Negotiate and oversee all legal aspects of transactions initiated by the Asset Based Finance team, spanning various complex structures and asset classes
  • Provide counsel on every aspect of structured finance transactions advising on tax implications, legal risks, and other considerations
  • Advise on transaction term sheets and transaction closings; collaborate with the deal teams on collapses, restructurings, amendments, waivers, and workouts
  • Create streamlined processes related to the ABF’s matters
  • Negotiate all legal documents and agreements with outside vendors, advisors, service providers, and consultants
  • Partner with the compliance team to review marketing communications, investor materials, and other related communications

Qualification:

  • J.D. from a top ranked law school; must be admitted to the bar (state agnostic)
  • 5-8 years of experience in securitizations, financings, joint ventures, and other capital markets transactions, preferably with a prominent law firm, bank, or corporate law division
  • Variety of experience across asset classes (residential mortgages, real estate, commercial, consumer, etc. and an understanding of legal/regulatory policy around CMBS, ABS, and MBS
  • Exposure to intricate tax frameworks and cross-border transactions is helpful but not required
  • Proficiency in managing and minimizing risks while maintaining a commercial approach in deal scenarios.

Compensation: $500-600K all-in
