Our client, a successful private equity firm with a long track record and $15B in AUM, is seeking a talented lawyer to join their growing Legal and Compliance team, specifically supporting the investing team to facilitate deal execution workstreams. Key Points:

  • Newly created position reporting to GC/CCO allowing the new hire to make an impact on the business
  • Position is focused on transaction support and interfaces with most functional areas: investing, sourcing, finance, compliance, and portfolio company leaders 

Responsibilities: 

  • Supports Investing and coordinates with outside counsel to facilitate deal execution workstreams from LOI to closing
  • Develops processes and playbooks for deal-related workstreams
  • Identifies transaction and business-related risks and develops comprehensive training and other tools to support Investing
  • Manages transaction-related obligations and creates processes to ensure compliance and mitigate risk 
  • Partners with GC/CCO in ensuring that the firm’s relationships with transaction counsel are managed appropriately and that the firm is receiving best-in-class service 
  • Partners with GC/CCO, investing team, and outside counsel in negotiating GP-led secondary transactions and managing process
  • Support the next phase of the fund’s growth and portfolio company maturity and transformation initiatives. Prepare the firm and portfolio companies for exits 

Qualifications:

  • 4 – 7+ years of relevant legal experience in private equity practice of top-tier or boutique M&A law firm
  • J.D. required from an accredited law school and a member in good standing of the New York or California State Bar
  • An advanced understanding of the private equity ecosystem and the structure of a private equity fund, its clients, stakeholders, counterparties, and service providers; a structured approach to completing complex tasks 
  • Deep understanding of M&A transaction agreements and market terms; experience with middle market PE is highly desired 
  • Extreme ownership for the success of function; consistently takes initiative to identify needs, and improve systems, processes, and outcomes
  • Strategic thinker who applies a commercial mindset to complexities in the business, first understanding the business operations deeply and then identifying solutions to create efficiencies and mitigate risk
  • Always looking to improve ways of working, not afraid to roll sleeves up to understand details of a process and then figure out how to make it more efficient 

Compensation Expectations: $400K all-in (+/-) depending on experience and level
