Our client, a steadily growing private equity fund with $5B in AUM, is looking to bring on an experienced, ambitious legal and compliance professional to join their team in a newly created position. The candidate of choice will manage a variety of private fund, regulatory and corporate matters. Reporting directly into the GC/CCO, this new hire will work closely with the firm’s operations, finance, and investment teams. Individual needs to be ready to roll up their sleeves to learn the inner workings of the firm’s investment philosophy and compliance program. Responsibilities
- Draft and negotiate routine corporate, fund and transaction-related documents; liaise across internal teams and external advisors on a various matter, including regulatory, transactional and LP and co-investor issues
- Manage and address any litigation matters related to the portfolio companies
- Draft corporate and other related documents, track terms and advise finance, operations, and deal teams on the above
- Assist in fundraising (LP due diligence and side letter reviews); advise on transaction-related legal and structuring matters
- Work with internal and external stakeholders on regulatory filings related to transactions and portfolio companies
- Coordinate and oversee employee compliance training; prepare and review regulatory filings (Form ADV 1, 2a, 2b and Form D&A)
- Conduct research with respect to compliance and regulatory issues; develop new compliance initiatives and modify policies and procedures as necessary
Qualifications
- JD required with significant exposure to private funds or matters related to private funds
- 5 – 8 years of relevant legal experience ideally with both big law and in-house private funds experience
- The team works hard – if you’re afraid of hard work, this is not the job for you
- Experience with entity formation, drafting and negotiating a range of corporate and other documents, and regulatory compliance
- Knowledge of closed-end funds is required
Compensation: $200-250K base;up to $550K all-in depending on experience
