Counsel (New York, NY): Our client, a successful private equity firm with a long track record, is seeking a talented legal professional to join their growing team, specifically providing support to the transactional aspects of the business.  This is a newly created role to help the current team further develop and manage the legal function in fast-paced environment.  This new hire will need to be ready to roll up her/his sleeves to learn the inner workings of the firm’s, collaborating with the legal team and working closely with the firm’s investment teams. The firm boasts an impressive track record as well as a positive, helpful, and like-minded work culture.

  • Review and offer comments to merger agreements, NDAs, engagement letters, shareholders agreements, term sheets, stock purchase agreements, voting agreements, and related documentation in support of the investment execution process; analyze and comment on bid letters, term sheets, and related bid documentation 
  • Assist in drafting credit agreements, corporate resolutions, collateral agreements, and related documentation as it relates to bank financings; participate in transaction negotiations, when necessary 
  • Review and provide comments to transaction documents and related issues lists (including on calls with deal team/outside counsel); provide counsel on transaction-related legal, structuring, and regulatory matters (antitrust, financial regulatory) 
  • Liaise with operations, tax, fund, and compliance teams on a variety of matters (signing and closing process, regulatory matters, and LP and co-investor matters); coordinate with accounting, finance, tax, and investor relations teams on portfolio company-related matters and transactional-related matters
  • Provide legal support to management teams of portfolio companies (portfolio company litigation and employment matters); manage post-closing legal processes
  • Participate in team meetings, advise on outside counsel selection; assist with other firm or fund legal matters, when appropriate


  • 4 – 7+ years of relevant legal experience preferably within a top-tier corporate capacity, strong preference for prior PE/M&A and financing experience; J.D. required from an accredited law school and a member in good standing of the New York State Bar
  • An advanced understanding of the private equity ecosystem and the structure of a private equity fund, its clients, stakeholders, counterparties, and service providers; structured approach to completing complex tasks 
  • Excellent project management skills with a proven ability to drive a process to completion and to effectively prioritize competing objectives and tight deadlines; exceptional issue spotting, drafting, and critical reasoning skills 
  • A reputation of excellence, both personally and professionally, demonstrated by the individual’s education, career track record and intellect; a well-developed ability to reconcile technical legal constructs with sound and practical commercial judgement 
  • An appreciation for detail and nuance with exceptional problem-solving skills; strong verbal and written communication and presentation skills
  • A strong aptitude with numbers and analytics; strong sense of self-awareness and ownership mentality, with a “can-do” attitude, and a collaborative team player
