Associate Counsel, New York, NY (or Los Angeles, San Francisco)

Associate Counsel (NYC, LA, SF):  Our client, a global venture capital firm, is looking for an experienced corporate attorney to join its growing team.  This is an exciting opportunity for a driven individual looking to join a dynamic and collegial team and apply his or her law firm (or hybrid law firm/in-house) experience.  The role will primarily be focused on management of investments into mid/late stage private technology companies from all over the world, but there will be plenty of opportunities to learn and grow in other areas of the group’s work as well.

  • Exposure to deal work in non-US companies, private fund formation/documentation, credit facilities and other corporate/fund matters will be helpful 

Responsibilities:

  • Coordinate with investment team and outside counsel on various matters (private financings, merger/sale agreements, IPOs) from NDA/term sheet to modeling to documentation to closing process.
  • Service existing portfolio company investments.
  • Issue spot legal and regulatory concerns as part of deal process.
  • Coordinate with other groups in the organization – accounting, valuations, investor relations, compliance, etc – on various matters.
  • Manage exit transactions for investments, including M&A, IPOs, secondary sales, etc.
  • Collaborate with others on fund documentation and processes.
  • Assist with general legal matters within the organization.
  • Help improve and grow our internal processes as we raise new funds, make more and more investments and grow our team.

Qualifications:

  • JD required with stellar academic credentials from an accredited law school
  • 4th to 7th year attorney, ideally at a law firm focused on VC/PE transactions, with experience in corporate and transactional matters
  • Skillset to understand, adopt and improve internal approach to investment management
  • Ability to multitask with numerous active matters at one time in a fast-paced environment
  • Ability to oversee and effectively manage outside and local counsel and communicate complex concepts simply for internal stakeholders
  • Openness to taking on and learning new matters within the group as needed
  • Team-focused, practical and solutions-oriented attitude.
