Associate Counsel, Miami, FL or New York, NY

Associate Counsel (Location: Miami, or New York) Our client, a leading private equity firm is eager to bring on a bright and motivated legal professional to join their team. Specifically, this new hire will be supporting the firm’s investment team, covering all legal areas as it relates to executing investments. Additionally, they will provide support to the broader legal team on asset monitoring, corporate governance, compliance, and litigation matters.

  • This hire will work closely with the investment team 

Responsibilities:

  • Support the deal teams by conducting due diligence, negotiating transaction documents, and progressing transactions to closing
  • Collaborate with other legal and compliance members and external counsel to support the firm’s corporate governance and regulatory obligations 
  • Assist with the legal facets of financing transactions 
  • Train senior executives regarding legal and risk management issues 
  • Provide legal counsel in relation to the management of investments 
  • Advise internal clients at all levels, communicating clear and actionable legal advice 
  • Assist with corporate governance matters, IP, and litigation responsibilities as needed

Qualifications:

  • At least 3 years of relevant experience out of a law firm or in-house at an investment fund; JD is required with admissions to the bar in Florida or New York
  • Substantial corporate transactional experience, particularly with mergers and acquisitions transactions, and some exposure to intellectual property and corporate finance
  • Superior communication skills with the ability to present clear and sensible analysis and recommendations to the investment team and senior management; strong work ethic and problem-solving skills
  • Excellent organizational skills with the ability to work effectively and build solid relationships in a group setting; successful in working in an entrepreneurial, time-sensitive environment 
  • Must be self-driven and possess a solution-oriented mindset with the ability to anticipate needs and implement solutions
