Senior Counsel, Connecticut

Senior Counsel (Connecticut): Our client, a credit focused investment firm with over $10B in AUM is looking to bring on an experienced legal professional to join their legal and compliance team. This person will be joining a collaborative team, who prides themselves on the culture they’ve helped build. The candidate of choice will support the legal and compliance team advising on and assisting with various matters related to the firm’s investment management business. This new hire will also be tasked with building out the fund formation team moving forward in terms of hiring, managing, and training.

Responsibilities:

  • Manage transactional and general corporate matters (partnership agreements, JV agreements, shareholder agreements, purchase and sale agreements, restructuring support agreements, bid letters, commitment letters, confidentiality agreements and vendor agreements and engagement letters)
  • Provide support to compliance matters related to conflicts of interest, allocation of investment opportunities and expenses, MNPI and valuation matters
  • Spearhead efforts relating to drafting and reviewing documents related to new private fund/product structuring and launches (including offering memorandums, limited partnership agreements, subscription documents and side letters); assist with related investor relations matters
  • Oversee and manage outside counsel; coordinate with the firm’s investment team with political outreach, research and activity

Qualifications:

  • 7+ years of relevant combined experience from a top tier law firm and alternative investment fund/financial institution; JD required from a reputable law school with a strong academic record
  • Excellent interpersonal and communication skills; ability to work effectively under pressure in a fast-paced environment
  • Demonstrated professional demeanor and trustworthy with confidential and sensitive information; strong analytical skills, well organized, and ability to multi-task
  • Must be a self-starter, independent worker and quick learner
