Corporate Counsel, DC, NY or REMOTE

Corporate Counsel (Washington DC, New York City, or REMOTE): Our client, a rapidly growing private equity fund, is looking to bring on an experienced, ambitious lawyer to join their team in a “Swiss Army Knife” capacity.  The candidate of choice will manage a variety of private fund and corporate matters in a newly created role.  Reporting directly into the CCO/CLO, this new  individual will work closely with the firm’s operations, finance, and investment teams.

Responsibilities:

  • Responsibilities will depend on the new hire’s areas of expertise as well as interests – this job can be narrow or broad reaching in scope covering any of the following items:
    • Draft and negotiate routine corporate, fund and transaction-related documents; liaise across internal teams and external advisors on a various matter, including regulatory, transactional and LP and co-investor issues
    • Collaborate with the compliance and legal team and outside counsel on fund and entity formation, maintaining corporate records; draft corporate and other related documents, track terms and advise finance, operations, and deal teams on the above
    • Assist in fund raising (LP due diligence and side letter reviews); advise on transaction-related legal and structuring matters
    • Manage internal stakeholder relationships, including with investment professionals, ensuring a smooth delivery of legal services; work with internal and external stakeholders on regulatory filings related to transactions and portfolio companies

Qualifications:

  • JD required with significant exposure to private funds or matters related to private funds
  • 5 – 7 years of relevant legal experience out of big law and/or an asset management firm
  • Experience with entity formation, drafting and negotiating a range of corporate and other documents, and a basic understanding of the private fund regulatory environment OR a willingness to learn; ability to be proactive in new situations, and to manage projects and third parties, including outside counsel
  • Ability to thrive in a fast paced, rapidly changing environment; positive attitude with a willingness to take on multiple legal tasks at any given time
