Investment Advisor

Paralegal, New York, NY

Paralegal (New York, NY): Our client, an investment advisor with north of $3.5 billion in AUM is seeking a smart, proactive professional to join their legal team in NYC. The candidate of choice will be focusing on the legal side of the business, reporting to the firm’s General Counsel as well as other attorneys.

Responsibilities:

  • Review and comment on non-disclosure agreements; assist with closing corporate transactions (preparation of signature page packets, tracking execution status of documents, maintain and organize corporate closing rooms)
  • Prepare and maintain corporate governance documents, such as consents, resolutions, and tax forms; organize and submit bank and securities account opening documentation, while maintaining files for foreign and domestic accounts 
  • Track all deadlines related to legal reviews, negotiations, and associated transactions (submitting follow ups upon request); draft a variety of legal documents and forms, apply track changes, formatting (proofread, edit, label, and redact documents) and compare documents to produce redlines
  • Assist with the execution of investment agreement letters and other related documents; prepare and maintain entity formation documents for LLCs, corporations, and partnerships 

Qualifications:

  • 1 – 2 years of relevant experience within a similar function as a paralegal or compliance; preferably coming out of an investment manager, law firm or similar financial services firm
  • Bachelors degree is required; demonstrated ability to maintain strict confidentiality of the firm's internal and personnel affairs 
  • Ability to respond quickly and shift demands as necessary; must be able to work under tight deadlines and handle multiple, detailed tasks 
  • Strong technical ability and excellent interpersonal skills; comfortable with planning, organizing, and carrying out multiple related activities
  • Must be a self-starter who desires to show ownership and commitment within the legal space; willingness to learn and advance one’s knowledge of regulatory issues
