Transactional Attorney, New York, NY

Transactional Attorney (New York, NY): Our client a growing investment management firm with north of $2B in AUM is eager to bring on an experienced attorney to join their NYC team. This is an opportunity for an ambitious individual looking to apply experience from years of law firm experience to a buy side role at a growing investment firm, aiming to join a dynamic professional environment.

 

Key Points:

  • Opportunity to join a rapidly growing hedge fund that has been incredibly successful in the SPAC and PIPES space 
  • Person will be dedicated to a high volume of transactions  
  • This is the first legal hire for the firm 
  • Person will be part of the investment team 

Responsibilities:

  • Act as lead transaction counsel on deals, managing transaction execution; review and negotiate full range of deal documentation (sub docs, LLC agreements, NDAs, term sheets)
  • Offer advice and support to internal stakeholders in order to develop, establish and improve internal processes relating to investments; manage external deal counsel, coinciding with the investment team, while working closely with colleagues in various departments (Compliance, Operations, Finance)
  • Assist in managing and negotiating public and private equity investments, joint ventures, co-investments, private placements, PIPEs, SPACs, converts, pre-IPO investments and similar transactions on behalf of the Firm’s funds and accounts; adhere to investment process and operational standards
  • Coordinate with compliance teams as it relates to restricted list reviews, information barriers, thresholds, inside information, and other regulatory coverage areas; spearhead efforts to identify and analyze problems, generate alternative solutions and make decisions with minimal supervision

Qualifications:

  • 3+ years of relevant legal experience, preferably out of a top tier law firm or in-house legal team from an asset manager; JD required with superior academic credentials from an accredited law school
  • Significant experience in private equity, co-invest, M&A and capital markets transactions; distressed debt restructuring a plus
  • Experience advising fund managers and non-bank institutions as lenders or investors is advantageous; ability to oversee and effectively manage outside counsel and internal stakeholders
  • Superior technical legal and commercial skills; strong organizational skills with the ability to work effectively with other teams while managing time sensitive matters in a fast-paced environment
  • Must be a team player, motivated, as well comfortable working independently with the potential to lead if necessary; excellent interpersonal and communication skills, with the ability to present clear and concise ideas, as this role will endure complex issues and concepts
