Legal Counsel (Greenwich, CT):Our client a growing Investment management firm with over $7B in AUM, is looking for a bright and motivated legal professional to join their team. Specifically, this hire will be reporting the firm’s Senior Legal and Compliance Counsel, while providing support to the General Counsel and trading and investment teams.

  • Provide legal support to the trading and investment team, working directly with investment professionals on transactions and resolving issues that arise in new and existing investments 
  • Oversee all transaction documents including the review and negotiation of NDAs, LOIs, Consulting Agreements, Engagement Letters, Ad-Hoc Group Accession Letters, SHA’s, Co-operation Agreements; provide counsel to Finance as it relates to administrative, bank and custody agreement, Tax, Risk, capital call subscription facilities and asset backed financings
  • Provide legal advice on general corporate matters such as insurance, vendor contracts and similar agreements; coordinate with investment professionals on transactions, providing day-to-day advice and resolving issues that arise in new and existing investments
  • Review and identify Advisers Act issues and other US and non-US regulatory issues that affect the firm; assist in the creation and maintenance of policies and procedures
  • Assist with mock audits and regulatory exams, coordinating responses to regulatory inquiries; assist with corporate governance matters, legal entity maintenance and support the formation and ongoing maintenance of fund structures


  • 3 – 5 years of relevant experience at a similar capacity within a reputable law firm and/or in-house at a hedge, private equity or fund advisor; JD and admission in good standing to the NY or CT bar (huge plus if admitted in England and Wales)
  • Familiarity with entities in multiple jurisdictions such as DE, Cayman, Lux, Ireland, Netherlands, Jersey etc. required; previous experience preferably focused on corporate matters, including securities law and investment advisory matters
  • Knowledge of credit markets and distressed trading documents is advantageous; must be willing and comfortable fostering strong working relationships, while maintaining responsive, clear and consistent communication with senior personnel within the firm
  • Superior organizational skills with acute attention to detail; ability to effectively cover multiple time sensitive matters in a fast-paced environment 
  • Excellent communication and presentation skills; comfortable working after hours as needed
