Associate General Counsel (Boca Raton, FL): Our client, a successful and diverse hedge fund with over $4B in AUM, is looking to hire a well-rounded legal professional to join their team.

  • Assist with reviewing, maintaining and responding to amendments, consents, and investor side letter compliance requirements; draft side letters, amendments, elections and transfer agreements on behalf of the firm sponsored funds
  • Draft and review documents related to fund governance (minutes, resolutions, board reports and policies); draft and review various contracts, including vendor contracts, non-disclosure agreements and other legal documentation
  • Provide support as it relates to the offering of any new investment vehicles or other products; assist with launching new business initiatives across the firm and its subsidiaries
  • Work closely with outside counsel and review documents and agreements related to loan origination, bankruptcy workouts of issuers sponsored fund portfolios and investment restructuring of structured credit investments; review subscription agreements and AML/KYC materials for numerous funds
  • Assist with the firm’s AML compliance efforts, acting as the firm sponsored Cayman funds’ Deputy Money Laundering Reporting Officer; manage and maintain the firm’s Cayman AML-related policies and procedures
  • Liaise with and assist the firm’s investment, finance, operations and investor relations teams regarding legal and compliance matters; counsel IR/marketing group on marketing materials and investor communications while contributing to responses to RFPs and investor diligence exercises
  • Manage external counsel in respect of all of the foregoing; perform ad hoc legal and compliance projects as needed (research with respect to emergingregulatory issues)


  • 3+  years of relevant legal experience within fund formation or big law regulatory work; J.D required
  • Law firm or a combination of law firm and in-house experience is ideal; ability to manage several projects and appropriately deal with individuals at all organizational levels in various roles
  • Significant Advisors Act experience and other US regulatory requirements is strongly preferred; broker-dealer experience is valuable butnot a requirement (Person will be required to obtain their Series 7 & 24)
